Risk Disclosure Statement
Last updated October 17, 20261. General Information
This Risk Disclosure Statement is provided by Quarion LLC, acting under the brand DESTRAL, for informational purposes only. It does not constitute financial, investment, legal, or tax advice. The information made available through DESTRAL’s website, platform, or communications should not be relied upon as a basis for making investment decisions.
2. No Investment Advice or Guarantees
DESTRAL provides technology and infrastructure, does not provide personalized investment advice and does not guarantee any returns, outcomes, or performance. Any products, features, or information presented are provided on an “as is” basis. Past performance is not indicative of future results.
3. Digital Asset and Market Risks
- High market volatility and price fluctuations
- Liquidity risks
- Counterparty and protocol risks
- Smart contract vulnerabilities or exploits
- Regulatory and legal uncertainty
- Technological failures or disruptions
4. Stablecoin and Counterparty Risks
Stablecoins are not risk-free and are not equivalent to cash. A stablecoin may lose its parity with the currency it references, temporarily or permanently, as a result of the quality of its reserves, of the failure or insolvency of its issuer, of a regulatory action, or of market stress. Strategies accessible through DESTRAL may also rely on exchanges, custodians, market makers, lending venues or other counterparties whose failure, insolvency, freeze or fraud may cause a partial or total loss of the assets concerned, even where the strategy itself performs as designed.
5. Self-Custody and Loss of Access
Your Smart Account is non-custodial: you alone hold the means of control over the assets it holds, including private keys, passkeys and recovery credentials. DESTRAL does not hold them, cannot reconstruct them and cannot restore them on your behalf. If they are lost, destroyed, stolen or disclosed, access to your assets may be lost irreversibly and in full, with no possibility of recovery by DESTRAL and no compensation. You are responsible for securely storing and backing up these credentials, and for keeping the recovery methods made available to you in working order.
Assets that you allocate to a Vault leave your Smart Account and are no longer under your sole control: they are held and operated by DESTRAL or its designated providers, as described in the Vault Terms. Your position in a Vault is a right against DESTRAL, and not title to the underlying assets. The risks of custody and of counterparty therefore apply to those assets, as described in section 9.
6. Smart Contract and Third-Party Infrastructure Risks
The services depend on public blockchain networks, smart contracts, bridges, oracles, price feeds, node providers and liquidity sources that DESTRAL neither controls nor operates. A coding defect, an exploit, a governance attack, a failure, a fork, network congestion or the discontinuation of any of these components may prevent an instruction from being executed, delay it, or cause the partial or total loss of the assets concerned. Audits, where they have been carried out, reduce this risk but do not eliminate it. Transactions recorded on a blockchain are irreversible: they cannot be cancelled, reversed or amended by DESTRAL.
7. Swap Risks
A swap is executed through smart contracts and liquidity sources that may be operated by third parties. The rate you obtain may differ from the rate displayed because of price movements, slippage, price impact, or the ordering of transactions by other participants, including front-running and other forms of extraction of value from transactions (MEV). Tokens with low liquidity, or tokens that are fraudulent or poorly designed, may be impossible to sell or may lose most of their value. The inclusion of a token among the supported tokens is not a recommendation. A swap that has been confirmed on the blockchain cannot be reversed.
8. Multi-Chain and Network Fee Risks
Your Smart Account may exist on several blockchain networks. Assets sent to your address on a network or in a token that is not supported may be unrecoverable. Moving assets between networks through bridges involves additional risks, which are those of the bridge used. DESTRAL sponsors the network fees of certain operations, but this is a feature and not an entitlement: it may be limited, suspended or discontinued at any time. If it is, you remain able to operate your Smart Account and to withdraw your assets by paying the network fees yourself, in the native token of the relevant network. Network fees may be high or volatile at times of congestion.
9. Vault Risks
- The strategies of a Vault may underperform or lose value, and the value of your allocation may be lower than the amount you allocated.
- The assets you allocate leave your Smart Account and are exposed to the risks of DESTRAL and of the custodians, trading venues, protocols, counterparties and issuers used, including their failure, insolvency, freeze, fraud or hack.
- Allocations and redemptions operate on a periodic cycle and not continuously. An instruction is executed at the end of the applicable cycle rather than when it is submitted, so the value you obtain may differ, favourably or unfavourably, from the value observed at the moment you gave the instruction. You may therefore be unable to withdraw at a moment of your choosing.
- DESTRAL may suspend, defer or limit allocations and redemptions where market conditions, applicable law or the protection of other users require it, and such a suspension may last for an indeterminate period.
- Valuations are published per cycle, rely on prices and methods that may prove inaccurate, and may be revised in case of manifest error.
The conditions of Vaults are set out in the Vault Terms.
10. Fees
Fees reduce your returns and may apply even in periods when the value of your allocation falls. The nature, rate and calculation basis of fees are published on the platform and may be amended.
11. Risks Related to the Stral Token and Staking
The Stral token is a utility token. Its value is not guaranteed, may fluctuate significantly and may fall to zero, and its liquidity on third-party marketplaces, if any, is outside the control of DESTRAL. Staking may lock the token for a period during which it cannot be transferred, sold or used, including during a fall in its price. Staking rewards and benefits are not guaranteed, may be reduced or discontinued, and staking is performed through smart contracts carrying the risks described in section 6. Tokens subject to a vesting schedule or to a cliff remain unavailable until the corresponding dates.
12. No Deposit Protection
DESTRAL is not a bank and does not accept deposits. Assets held or allocated through the platform are not covered by any deposit guarantee scheme, investor compensation scheme or insurance covering market losses, the failure of a counterparty, or the loss of your means of access. There is no lender of last resort.
13. Operational and Platform Risks
Use of the DESTRAL platform involves operational and technological risks, including system outages, delays, cybersecurity incidents, phishing and impersonation, or third-party service failures. While DESTRAL implements security and risk management measures, these risks cannot be fully eliminated.
14. Regulatory, Legal and Tax Risks
Regulatory frameworks applicable to digital assets and related services may change rapidly and vary across jurisdictions. Such changes may adversely affect the availability, legality, or performance of certain products or services, and may require DESTRAL to restrict or discontinue access for certain users. The services are not available in all jurisdictions. You are solely responsible for determining the tax treatment applicable to your activity and for meeting your reporting and payment obligations, in your jurisdiction and in any other jurisdiction concerned.
15. User Responsibility
You are solely responsible for evaluating whether holding, swapping, staking or allocating assets through DESTRAL is appropriate for you, based on your financial situation, objectives, level of experience, and risk tolerance. You should seek independent professional advice where appropriate.
16. No Liability
To the maximum extent permitted by applicable law, DESTRAL shall not be liable for any direct or indirect losses, damages, or claims arising from your use of the platform, reliance on information provided, or any decision to hold, swap, stake or allocate assets.
17. Acknowledgment of Risk
By accessing or using DESTRAL’s services, you acknowledge that you understand and accept the risks described in this Risk Disclosure Statement.
18. Updates to This Statement
This Risk Disclosure Statement may be updated from time to time to reflect changes in products, services, market conditions, or regulatory requirements. The latest version will always be made available on the DESTRAL website.
